Terms of Service

These Terms of Service ("Terms") govern your use of the uddsoft.net website and any UDDSOFT point-of-sale or business-management software and services (the "Service"). By using the Service you agree to these Terms.

1. The Service

UDDSOFT provides point-of-sale and ERP software for small businesses, available in local and hybrid-cloud configurations, together with related support, onboarding, and training services.

2. Accounts and Eligibility

You must be able to form a binding contract to use the Service. You are responsible for the accuracy of the information you provide and for activity under your account.

3. Subscriptions and Billing

• Plans are billed in U.S. dollars per the prices shown on our Pricing page.
• Payments are processed by Stripe. You authorize us to charge the payment method you provide.
• Unless stated otherwise, subscriptions renew at the end of each billing period. You may cancel before renewal by contacting us.
• Fees are non-refundable except where required by law or expressly stated in writing.

4. Acceptable Use

You agree not to misuse the Service: no unlawful activity, no attempting to breach security or access another customer's data, no reverse engineering except as permitted by law, and no reselling access without our written consent.

5. Your Data

You retain ownership of the business data you store in the Service. You grant us the limited right to process that data solely to operate and support the Service for you.

6. Intellectual Property

The Service, the website, and the UDDSOFT name and logo are our property. These Terms give you a limited, non-exclusive, non-transferable right to use the Service for your business.

7. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

8. Limitation of Liability

To the fullest extent permitted by law, UDDSOFT will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data. Our total liability for any claim relating to the Service is limited to the amounts you paid us in the 12 months before the claim.

9. Indemnification

You agree to indemnify and hold UDDSOFT harmless from claims arising out of your misuse of the Service or violation of these Terms.

10. Termination

You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms. Sections that by their nature should survive (including payment obligations, disclaimers, and limitations of liability) survive termination.

11. Governing Law

UDDSOFT is a California company. These Terms are governed by the laws of the State of California, USA, without regard to conflict of law rules, and the state and federal courts located in California will have exclusive jurisdiction unless applicable law provides otherwise.

12. Changes

We may update these Terms from time to time. The current version is always posted here with its effective date. Continued use after a change means you accept the updated Terms.
